1. Use of the Website
   1. Eligibility You must be at least 18 years old and capable of forming a binding contract to use the Website and Services.

2. Services
   1. Description Aumtec Solutions provides outsourcing services including, but not limited to, e-commerce store management, web development, software development, Automation services, AI related services, product data entry, catalog management, SEO, PPC, digital marketing, image editing, and content writing.
   2. Service Agreements All Services are provided subject to a separate written agreement, quotation, or purchase order signed/confirmed by both parties ("Service Agreement"). In case of conflict, the Service Agreement shall prevail over these Terms.
   3. Client Responsibilities You agree to:
      • Provide accurate, complete, and timely information and materials required for us to perform the Services.
      • Pay all fees as agreed in the Service Agreement.
      • Grant necessary access to your platforms (e.g., Shopify, Amazon Seller Central, WooCommerce) only for the duration of the project.
3. Intellectual Property
   1. Ownership All content on the Website, including text, graphics, logos, and software, is the property of Aumtec Solutions or its licensors and is protected by copyright, trademark, and other laws.
   2. Work Product Upon full payment, we transfer to you ownership of the final deliverables (e.g., product descriptions, uploaded catalog, edited images) created specifically for your project. We retain the right to showcase the work in our portfolio unless otherwise agreed in writing.
   3. License to Your Materials By providing any content or materials to us, you grant Aumtec a worldwide, royalty-free, non-exclusive license to use, modify, and display such materials solely to perform the Services.
4. Payment Terms
   1. Fees Fees for Services are specified in the Service Agreement or quotation. We may require an advance deposit (typically 50%) before starting work but not always if agreed.
   2. Invoices & Payment Invoices are payable within the timeline stated (usually 3-7 days). Late payments may incur interest at 1.5% per month or the maximum allowed by law.
   3. Taxes You are responsible for all applicable taxes, duties, or levies unless otherwise stated.
   4. No Refunds All payments are non-refundable except as expressly provided in the Service Agreement.
5. Confidentiality

   Both parties agree to keep confidential any non-public information disclosed during the engagement. This obligation survives termination of Services.

6. Limitation of Liability
   1. No Warranties Services are provided "as is." We do not guarantee specific results (e.g., sales, rankings, or traffic increases).
   2. Liability Cap To the fullest extent permitted by law, Aumtec's total liability shall not exceed the amount paid by you for the specific Service giving rise to the claim.
   3. Indirect Damages We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, data, or business opportunities.
7. Termination
   1. By Either Party Either party may terminate the Service Agreement with written notice if the other party materially breaches the agreement and fails to cure within 15 days.
   2. Effect of Termination Upon termination, you must pay for all Services rendered up to the termination date. We will deliver any completed work upon receipt of final payment.
8. Force Majeure

   We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, war, pandemics, or internet outages.

9. Governing Law & Dispute Resolution

   These Terms and any Service Agreement shall be governed by the laws of India. Any disputes shall be resolved exclusively in the courts of Delhi, India.

10. Indemnification

    You agree to indemnify and hold harmless Aumtec Solutions, its employees, and affiliates from any claims, losses, or damages arising from:

    • Your violation of these Terms.
    • Your provision of inaccurate or infringing materials.
    • Your use of the Services in violation of third-party rights or applicable laws.
11. Changes to Terms

    We may update these Terms anytime. Continued use means acceptance of updated Terms.

12. Miscellaneous
    1. Entire Agreement These Terms, together with any Service Agreement, constitute the entire agreement between you and Aumtec.
    2. Severability If any provision is found invalid, the remaining provisions remain in full effect.
    3. No Waiver Failure to enforce any right does not constitute a waiver.
